1. AGREEMENT TO TERMS
By accessing, booking, or purchasing any services provided by Kayon Clay (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms & Conditions.
If you do not agree with these terms, you must not use or purchase any services.
2. SERVICES PROVIDED
The Company provides coaching, consulting, training, and speaking services related to mindset development, communication, sales performance, and personal/professional growth.
Services may be delivered in-person or virtually at the Company’s discretion or as agreed upon at the time of booking.
3. ELIGIBILITY
By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement.
4. PAYMENT TERMS

All fees are listed in U.S. Dollars (USD).

Full payment is required prior to the commencement of any service unless otherwise agreed in writing.

Failure to complete payment will result in cancellation of the scheduled service.
The Company reserves the right to modify pricing at any time without prior notice; however, confirmed bookings will honor the agreed-upon rate.
5. NO REFUND POLICY
All payments made to the Company are final and non-refundable.
By purchasing any service, you acknowledge and agree that:

No refunds will be issued for any reason, including but not limited to dissatisfaction, scheduling conflicts, or unused sessions.

This policy applies to all services, programs, and packages.
6. RESCHEDULING POLICY

Clients may request to reschedule a session by providing at least twenty-four (24) hours’ notice prior to the scheduled session time.

Rescheduling requests are subject to availability.
-
Requests made with less than 24 hours’ notice may be denied and the session may be forfeited.
7. CANCELLATION & NO-SHOW POLICY
-
Failure to attend a scheduled session without prior notice will be considered a no-show.
-
No-show sessions will be forfeited without refund or rescheduling eligibility.

Repeated no-shows may result in termination of services without refund.
8. SESSION STRUCTURE & DELIVERY
-
Standard coaching sessions are approximately one (1) hour in duration.
-
Accelerated Mindset Coaching Sessions are four (4) hours in duration.
-
Coaching programs (including but not limited to 3-session, 6-week, and 12-week programs) are conducted on a weekly basis, unless otherwise agreed.
The Company reserves the right to adjust session scheduling when necessary.
9. IN-PERSON SERVICES

In-person services are available upon request and subject to approval.

An additional $100 fee will be applied for in-person sessions.

The Company reserves the right to decline in-person requests based on location, availability, or other considerations.
10. CLIENT RESPONSIBILITIES
The Client agrees to:

Arrive on time and prepared for each session
-
Participate actively and professionally
-
Take responsibility for implementing strategies discussed
The effectiveness of services is dependent upon the Client’s commitment and execution.
11. RESULTS DISCLAIMER
The Company makes no guarantees, representations, or warranties regarding specific outcomes or results.
Client acknowledges that:

Results vary based on individual effort, consistency, and circumstances

Coaching and consulting services are not a substitute for professional financial, legal, or medical advice
12. CONFIDENTIALITY
All information shared during coaching sessions will be treated as confidential and will not be disclosed to third parties without the Client’s consent, except where required by law.
13. INTELLECTUAL PROPERTY
All materials, content, frameworks, and resources provided by the Company are the exclusive intellectual property of Kayon Clay.
Clients may not:

Reproduce, distribute, or share materials without written consent

Use materials for commercial purposes without authorization
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of services.
The Company’s total liability shall not exceed the amount paid by the Client for the service.
15. TERMINATION OF SERVICES
The Company reserves the right to terminate services at any time if the Client:

Violates these Terms & Conditions

Engages in inappropriate or unprofessional behavior
-
Fails to comply with policies outlined herein
No refunds will be issued in such cases.
16. GOVERNING LAW
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
17. MODIFICATIONS TO TERMS
The Company reserves the right to update or modify these Terms & Conditions at any time.
Continued use of services after any changes constitutes acceptance of the revised terms.
